These Merchant Terms of Use ("Agreement") govern the relationship between Dodo SBS Limited ("Company," "we," "us," or "our") and merchants ("Merchant," "you," or "your") using the Dodo-Delivery.com platform ("Platform"). By registering as a Merchant, you agree to these terms.
1. MERCHANT ELIGIBILITY
You must be a legally registered business in Tanzania.
You must provide valid business registration documents, tax identification, and other necessary certifications.
2. MERCHANT RESPONSIBILITIES
Ensure all product listings, pricing, and descriptions are accurate and up to date.
Maintain quality and hygiene standards for food and other goods sold.
Process and fulfill orders promptly to meet customer expectations.
Resolve customer complaints professionally and efficiently.
Comply with all applicable laws and regulations.
3. COMMISSION AND PAYMENTS
The Company charges a commission on each sale made through the Platform.
Commission rates and payment terms will be outlined in a separate agreement.
Payments to Merchants will be processed on a daily basis via payment options agreed upon by both parties.
Merchants are responsible for any transaction fees or taxes applicable to their earnings.
4. ORDER MANAGEMENT
Merchants must confirm and prepare orders within the specified time frames.
Orders that cannot be fulfilled must be canceled immediately through the Platform.
Repeated order cancellations or delays may result in penalties or account suspension.
5. DELIVERY
The Company may provide delivery services or allow Merchants to use their own delivery methods.
If using the Company’s delivery service, Merchants must cooperate with assigned delivery personnel.
Delivery fees may apply based on location and service agreements.
6. INTELLECTUAL PROPERTY
Merchants grant the Company a non-exclusive license to use their logos, brand names, and product images for marketing and promotional purposes.
Merchants shall not use the Company's branding without prior written consent.
7. TERMINATION
Either party may terminate this Agreement with a [30-day] written notice.
The Company reserves the right to suspend or terminate a Merchant’s account for non-compliance with these terms.
Outstanding payments and obligations must be settled upon termination.
8. LIABILITY AND INDEMNIFICATION
The Company is not liable for losses arising from order cancellations, delays, or disputes between Merchants and customers.
Merchants agree to indemnify the Company against any claims, damages, or legal actions resulting from their operations on the Platform.
9. DISPUTE RESOLUTION
Any disputes shall first be resolved amicably between the parties.
If unresolved, disputes shall be governed by the laws of Tanzania and settled in Tanzanian courts.
10. CHANGES TO TERMS
The Company reserves the right to update these terms at any time.
Continued use of the Platform after changes constitutes acceptance of the updated terms.
